The terms on which you may use the AI Value Ledger website, the free AI Pulse, the templates and the client portal.
These Terms of Use (the “Terms”) are an agreement between you and EkaC Global Consulting LLC, which owns and operates AI Value Ledger (“we”, “us”). AI Value Ledger is owned by EkaC Global Consulting LLC, a New Mexico (USA) limited liability company. “Services” means the website at aivalueledger.com and its subdomains, the AI Pulse, the downloadable templates, the Knowledge Base, the client portal, and any report or output made available through them. If you use the Services for an organization, you confirm that you have authority to accept these Terms for it, and “you” includes that organization.
By accessing or using the Services, submitting the AI Pulse, downloading a template, or signing in, you accept these Terms and our Privacy Notice and Cookie Notice. If you do not accept them, do not use the Services. Where you have a signed engagement agreement with us, that agreement governs the engagement and prevails over these Terms to the extent of any conflict.
The Services, including AI Pulse results, scores, ratings, investment calls, authority levels, reports, templates and Knowledge Base summaries, are provided for general information and to support your own decision-making. They are not legal, regulatory, tax, accounting, audit or other professional advice, and they are not a substitute for advice from a qualified professional who knows your circumstances. No attorney-client, auditor-client or fiduciary relationship is created by your use of the Services.
The Services are not a certification, conformity assessment, audit opinion, attestation or other assurance engagement. They do not establish, evidence or guarantee compliance with the EU AI Act, ISO/IEC 42001, the NIST AI RMF, any data-protection law, or any other law, regulation or standard. AI Pulse results are self-reported and indicative only.
You remain solely and exclusively responsible for your own AI governance, risk management and regulatory compliance; for your AI systems and the decisions you make with or about them; for deciding whether and how to act on any output of the Services; and for the accuracy and lawfulness of the information you provide. We do not assume any of your obligations, and we are not the provider, deployer, operator or controller of your AI systems under the EU AI Act or any comparable law.
The client portal is available only to authorized users of clients with an active, paid engagement, using credentials we issue. There is no self-registration. You must keep your credentials confidential, must not share them, and must tell us promptly at trust@aivalueledger.com if you suspect unauthorized use. You are responsible for activity under your credentials. Access ends when the engagement ends or when we suspend or withdraw it under these Terms.
You must not, and must not allow anyone else to:
We and our licensors own all rights in the Services, including the method, scoring logic, software, text, design, templates and report formats. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services, and to download, adapt and use the templates and any report provided to you, solely for your organization’s internal business purposes. You may share a report with your board, auditors, regulators and professional advisers on a confidential basis. You must not sell, sublicense, publish or distribute the templates or reports, or remove proprietary notices or disclaimers from them. You keep all rights in the information you provide; you grant us the rights needed to provide the Services to you. If you send us feedback, we may use it without obligation to you.
Each party will keep confidential the non-public information of the other that it receives through the Services and that is marked or reasonably understood to be confidential, will use it only for the purpose of the Services, and will protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the recipient, was already lawfully known to it, is independently developed, or is lawfully received from a third party without restriction. A party may disclose confidential information where required by law or a competent authority, giving notice where lawful. Any confidentiality terms in a signed engagement agreement prevail. Pulse answers are not treated as client confidential information but are handled as our Privacy Notice describes.
The Services, including the Knowledge Base, link to websites and documents published by third parties such as governments, regulators and standards bodies. We do not control, endorse or take responsibility for that content, its accuracy or currency, or its availability. Summaries we provide are for orientation only. Always rely on the official text, and your own advisers, for your decisions. Your use of a third-party site is subject to its own terms.
To the maximum extent permitted by law, the Services, templates, reports and all outputs are provided “as is” and “as available”, with all faults and without warranty of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness or quiet enjoyment, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, timely, secure or error-free, that outputs will be accurate or meet your requirements, or that any regulatory or business outcome will be achieved.
To the maximum extent permitted by law: (a) neither EkaC Global Consulting LLC nor its members, managers, personnel, contractors or licensors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, for regulatory fines or penalties, or for third-party claims, arising out of or relating to the Services or these Terms, however caused and on any theory of liability (contract, tort including negligence, strict liability or otherwise), even if advised of the possibility; and (b) our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the fees you actually paid to us for the Services giving rise to the claim in the twelve (12) months before the event giving rise to liability. For free Services, including the website, the AI Pulse, the templates and the Knowledge Base, that amount is zero dollars (US$0).
These limitations apply even if a limited remedy fails of its essential purpose. They do not exclude or limit liability that cannot be excluded or limited under applicable law, such as, where the law so provides, liability for fraud, gross negligence or willful misconduct, for death or personal injury caused by negligence, or under mandatory consumer or data-protection law. In those cases, our liability is limited to the minimum extent the law permits.
To the extent permitted by law, you will defend, indemnify and hold harmless EkaC Global Consulting LLC and its members, managers, personnel and contractors from and against any claims, losses, damages, liabilities, fines, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to: your AI systems and the decisions you make with or about them; your use of the Services or any output in breach of these Terms; information or content you provide; or your violation of any law or third-party right.
We may suspend, restrict or terminate your access to all or part of the Services, with or without notice, if we reasonably believe you have breached these Terms, your use poses a security, legal or reputational risk, your engagement has ended or fees are overdue, or we are required to do so by law. We may change, suspend or discontinue any free Service at any time. Sections 2, 3, 6 (as to our rights and your restrictions), 7, 9, 10, 11 and 14 to 17 survive any termination.
We may update these Terms from time to time. We will post the updated Terms on this page and change the “Last updated” date. Where a change is material and you are a signed-in client, we will make reasonable efforts to notify you in advance. Continued use of the Services after an update takes effect means you accept it. If you do not agree, stop using the Services.
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver of it.
These Terms, together with the Privacy Notice, the Cookie Notice and any signed engagement agreement, are the entire agreement between you and us about the Services and supersede any prior understanding on that subject. You may not assign these Terms without our prior written consent; we may assign them in connection with a reorganization, merger or sale of the business. Nothing in these Terms creates a partnership, agency or employment relationship, and there are no third-party beneficiaries.
(a) Governing law. These Terms, and any non-contractual obligations arising out of or in connection with them or the Services, are governed by and construed in accordance with the laws of the State of New Mexico, USA, and applicable US federal law, without regard to conflict-of-laws principles that would require the application of any other law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
(b) Arbitration. Except as provided in paragraphs (c) and (d), any dispute, claim or controversy arising out of or relating to these Terms or the Services, including their formation, interpretation, performance, breach, termination, validity or arbitrability, shall be finally resolved by confidential, binding arbitration administered by the International Centre for Dispute Resolution (ICDR) of the American Arbitration Association in accordance with its International Arbitration Rules in effect when the arbitration is commenced. The tribunal shall consist of one arbitrator. The seat, or legal place, of arbitration shall be Albuquerque, New Mexico, USA; hearings may be held remotely by video conference or at another location the parties agree. The language of the arbitration shall be English. The parties shall keep the existence, content and outcome of the arbitration confidential, except as required by law or to enforce or challenge an award. Judgment on the award may be entered in any court of competent jurisdiction.
(c) Interim relief. Nothing in this section prevents either party from seeking urgent injunctive or other interim or conservatory relief from any court of competent jurisdiction to protect its intellectual property rights or confidential information, pending the outcome of arbitration. Such a request is not a waiver of the agreement to arbitrate.
(d) Mandatory law. Nothing in these Terms deprives a consumer or a data subject of the protection of the mandatory provisions of the law of the country in which they habitually reside, including the EU General Data Protection Regulation and the UK GDPR, or of the right to lodge a complaint with a supervisory authority or to seek a judicial remedy that such law guarantees. Where mandatory law prohibits or limits pre-dispute arbitration, this choice of law, or this choice of forum for consumers, paragraphs (a) and (b) apply only to the extent that law permits.
(e) Individual claims only. To the extent permitted by law, each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate the claims of more than one party or preside over any form of class or representative proceeding. If this paragraph (e) is found unenforceable as to a particular claim, that claim shall be severed and heard in a court of competent jurisdiction, and the remainder of this section shall continue to apply.
(f) Engagement agreements. A separate signed engagement agreement may specify a different governing law or dispute-resolution procedure. Where it does, the engagement agreement prevails for disputes within its scope.
